Introduction

AVM Global Services provides Tax Preparation services through the websites www.avmtax.com. By entering and using the AVM Global Services site and service (the “Service”), you (the “Member”) indicate that you accept the Terms and Conditions set out below (the “Terms”) and that you agree to be bound by and subject to them. These Terms describe the way in which the Member may use the Service, and the way in which AVM Global Services will operate the Service.

In this Agreement, AVM Global Services, its subsidiaries that participate in offering the Service, or its agents, employees, contractors, or others authorized by AVM Global Services have been referred to by the website names www.avmtax.com. If you have questions about the Terms, please contact us at clienthelp@avmtax.com. Your use of the Services is entirely conditioned on and subject to your compliance with the Terms. If you do not agree with the Terms, do not proceed to access the Site or use the Service.

1. Terms of Use

The Service is available to you if you submit certain requested information to the AVM Global Services site, including (but not limited to) your name and correct email address and other document artifacts for the Tax Preparation Service. In addition, by using the Service, you agree to provide the Company with true, accurate, current, and complete information about yourself when such information is requested by the Service (whether by questionnaires, surveys, registration forms, or other informational requests).

A condition of use is your “Active Participation” in the Service. Active participation in the Service is defined as when you purchase a Tax Service from AVM Global Services and send us the relevant forms as requested to complete the Tax Preparation Service. We maintain complete privacy of the document artifacts we receive from you. For more details check our Privacy Policy.

2. Conduct

We are committed to ensuring that our Service remains highly professional to provide Tax Preparation services to our customers, respecting the privacy of the personal information we collect from our customers. You may not upload through your account (or fax or mail), or permit others to upload, any Prohibited Material to the Service. Prohibited Material includes (but is not limited to) any content that:

2. 2. Is or may be perceived by AVM Global Services or other likely recipients as defamatory, deceptive, misleading, abusive, profane, offensive, sexually explicit, or inappropriate.
3. 3. Contains any virus or other content that may damage the Service, the network, or any other user’s equipment or software.
4. 4. Violates any laws, rules, or regulations of any governmental or other administrative organization having authority over the Service, AVM Global Services, or users.
5. 5. Copyrighted material that is used without the express permission of the owner.
6. 6. Content that can harms minors in any way.

AVM Global Services has the sole discretion to determine whether content is Prohibited Material, and any content submitted to the Service may be subject to examination from time to time. You acknowledge that although AVM Global Services does not and will not examine and review all content submitted or transmitted to the Service, AVM Global Services has the absolute right (but not the obligation) to delete, move, and edit materials for any reason, at any time, without notice.

Notwithstanding the above, when you access the AVM Global Services Site and/or use the Service, you acknowledge and agree that all content (whether private or public) that is posted and stored on the Site is the sole responsibility of the Member. In other words, the Member is responsible for any content that he/she submits. Moreover, you understand that by viewing the Site, you may be exposed to content that you consider to be offensive, and the Member takes sole responsibility for such exposure. Finally, you acknowledge that AVM Global Services in no way guarantees the accuracy, quality, or appropriateness of content available on the Site. In no event shall AVM Global Services be liable for claims of any nature, whether direct or indirect, arising from or related to any content or service made available on or through the Service, including (without limitation) errors or omissions in such content or services, and loss or damages incurred as a result of use of such content or service.

3. No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service, including any content, use of the Service, or access to the Service for any commercial purposes.

4. Third Party Software

As a convenience to our users, AVM Global Services may make third-party software available through the Service. To use the third-party software, you must agree to the terms and conditions imposed by the third-party provider and the agreement to use such software will be solely between you and the third-party provider.

By downloading third party software, you acknowledge and agree that AVM Global Services does not guarantee that any software downloaded through the Service will be free of viruses, worms, or Trojan horses or other forms of corruptive code. AVM Global Services makes no representations or warranties concerning the performance, effectiveness or any other aspect of any third-party software downloaded through the Service. Downtimes in server up-times of the third-party software or our service website AVM Global Services cannot be held liable.

6. Copyright

The AVM Global Services domain and the copyright terms “AVM Global Services” are considered trademarks for the purpose of the business and should not be violated.

You remain the owner of all document artifacts that you submit to the Service and, as a condition of use, you represent and warrant to AVM Global Services that you are the owner of the copyright to the document artifacts and information that you submit to the Service, or that you have written permission from the copyright owner to submit such content.

Copyright Protection for Content on the Service. All the information, content, image files, software, and materials offered by our Service are protected by U.S. and international copyright laws and by other applicable laws. You understand that AVM Global Services is unable to provide you with permission to copy, display, or distribute material for which you do not own the copyright, and we do not provide others with such rights to your content (unless you give us permission to do so). AVM Global Services has the absolute right to terminate your account or exclude you from the Site if you use the Service to violate the intellectual property rights of third parties.

7. Indemnification

You agree to indemnify, defend, and hold harmless AVM Global Services against all damages, claims, liability, costs, and expenses, including but not limited to reasonable attorneys’ fees, arising out of violation of any of the provisions of this Agreement by you or anyone accessing the Service under your account.

8. Warranty / Disclaimer / Limitation of Liability

Member acknowledges that use of the Service is at Member's sole risk. The Service is not warranted to be error free or uninterrupted, and there is no warranty as to the results obtained through use of the Service. The Service is made available on an AS IS basis. AVM Global Services may, at its discretion, but shall not be obligated to, provide support for the Service and related AVM Global Services software and tools. There are no warranties of any kind, either expressed or implied including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose or use with respect to the service. Neither AVM Global Services nor anyone else involved in creating, producing, or delivering the Service, or any services accessible through the Service, will be liable for any direct, incidental, special or consequential damages arising out of this Agreement. In no event will the liability of AVM Global Services for any breach of this Agreement exceed the total charges incurred by a User in the month preceding the date the claim for breach arose. The provisions of this Section will survive termination of this Agreement.

9. Termination

By Member: You may terminate the Member Agreement at any time. To terminate the Member Agreement, you must notify AVM Global Services by sending e-mail to clienthelp@avmtax.com. After receipt of your termination notice, AVM Global Services will terminate your account.

By AVM Global Services: AVM Global Services may terminate the Member Agreement at any time in the event of a breach of this Agreement by Member or anyone accessing the Service using Member’s Member Name. AVM Global Services, at its sole discretion, may also terminate this Agreement at any time without cause, and may suspend access to the Service with or without notice, to any User.

Continuing Obligations After Termination: Termination or suspension of an account does not relieve you of any obligations you have accrued, including payment of any charges due in connection with an account. You are responsible for payment of all such charges. Further, you agree that AVM Global Services shall not be liable to you or any third party for any termination of your access to the Service.

10. Payment and Fees

Fees for AVM Global Services products and services shall be determined by AVM Global Services’ price list, as the same may be amended from time to time. Member is responsible for payment of all fees, charges, and taxes accrued on Member’s account under this Agreement. All fees and charges will be at the rates in effect at the time the charges were incurred.

11. Choice of Law

The state and federal courts of Illinois shall be the exclusive forum and venue to resolve any and all disputes arising out of or relating to these Terms and Conditions. You consent to personal jurisdiction and venue by the state and federal courts of the State of Delaware.

12. Modification of Terms

You agree that AVM Global Services reserves the right to amend the Terms at any time, for any reason, and without notice, including the right to terminate the Service or any part of the Service. Any amendments or modifications made by AVM Global Services shall be prospective only.

13. Email

We only send emails to our registered clients for day-to-day activity purposes. Due to a high volume of clients, there might be a large number of outgoing emails from these domains; however, none of them are for marketing or promotional purposes. All the emails are sent from www.avmtax.com.

14. Entire Agreement

These Terms constitute the entire agreement between you (the Member) and AVM Global Services and govern your use of the Service, superseding any prior agreements between you and AVM Global Services. In the case of inconsistencies between these Terms and information included in off-line materials (e.g., promotional materials and mailers), these Terms will always control.
